Google Ads Management Terms & Conditions

1. Acceptance of Terms

By accepting a quotation, making payment, or instructing Polkadot Digital to commence Google Ads services, the client agrees to the following Google Ads Management Terms & Conditions.

2.Scope of Services

Polkadot Digital provides Google Ads management services which may include:

  • campaign setup;
  • keyword research;
  • ad copy creation;
  • audience targeting;
  • conversion tracking setup;
  • campaign optimisation;
  • reporting;
  • bid management;
  • remarketing setup;
  • Performance Max campaigns;
  • Google Shopping setup;
  • display advertising;
  • YouTube advertising.

Specific deliverables and services will be outlined within the client quotation or proposal.

3. Payment Terms

The first month’s management fee and agreed advertising budget are payable upfront before work commences.

Monthly management fees are charged in advance and are payable monthly unless otherwise agreed in writing.

All prices exclude VAT unless otherwise stated.

Failure to make payment may result in:

  • paused campaigns;
  • suspension of services;
  • removal of account access;
  • termination of management services.

Outstanding invoices may be handed over for debt collection at the client’s expense.

4. Advertising Spend

Advertising spend is separate from Polkadot Digital’s management fee.

Google advertising spend is paid directly to Google unless otherwise agreed in writing.

Polkadot Digital does not take commission or percentages from the agreed advertising budget unless explicitly stated within the quotation.

The client understands and agrees that:

  • daily and monthly spend may fluctuate due to Google’s advertising algorithms;
  • Google may exceed daily budgets on certain days while balancing monthly spend;
  • actual spend may vary slightly from estimates.

Polkadot Digital is not liable for overspend, underspend, or spend fluctuations caused by Google’s systems or automated bidding strategies.

5. Contract Period & Cancellation

Google Ads management services are subject to a minimum 3-month contract period unless otherwise agreed in writing.

The client may cancel services after the initial 3-month period by providing 1 calendar month written notice.

If campaigns are paused during the contract term, the minimum contract period may still apply.

Should the client request a pause in management services:

  • Google Ads campaigns must also be paused;
  • pauses exceeding 4 weeks may be treated as a cancellation.

All outstanding amounts become immediately payable upon cancellation.

6. No Guarantee of Results

While Polkadot Digital applies industry best practices, Google Ads performance depends on multiple external factors outside of our control, including:

  • competition;
  • market demand;
  • pricing;
  • website quality;
  • landing page performance;
  • seasonality;
  • industry conditions;
  • economic conditions;
  • Google algorithm changes;
  • advertising policies.

Polkadot Digital does not guarantee:

  • sales;
  • leads;
  • enquiries;
  • return on investment;
  • cost per lead;
  • conversion rates;
  • click-through rates;
  • impressions;
  • search rankings;
  • revenue increases;
  • business growth.

Past performance does not guarantee future results.

7. Google Policies & Account Suspensions

All campaigns remain subject to Google’s advertising policies and approval processes.

Google reserves the right to:

  • reject advertisements;
  • suspend campaigns;
  • limit ad visibility;
  • suspend accounts;
  • restrict industries;
  • disable features.

Polkadot Digital cannot guarantee ad approval or uninterrupted campaign delivery.

Polkadot Digital shall not be held liable for:

  • account suspensions;
  • ad disapprovals;
  • policy violations;
  • restricted industries;
  • account bans;
  • changes to Google’s advertising platform or policies.

The client remains responsible for ensuring that their business, products, services, and claims comply with all applicable laws and Google policies.

8. Client Responsibilities

The client agrees to:

  • provide accurate business information;
  • provide required approvals timeously;
  • supply correct website links and landing pages;
  • maintain a functioning website;
  • ensure website compliance;
  • respond to queries or approvals promptly.

The client is solely responsible for:

  • pricing;
  • product claims;
  • service claims;
  • legal compliance;
  • website content;
  • product availability;
  • fulfilment of sales or enquiries generated.

Polkadot Digital shall not be liable for inaccurate information supplied by the client.

9. Tracking & Reporting Disclaimer

Polkadot Digital may implement conversion tracking, analytics, and reporting tools where possible.

However, tracking accuracy may be affected by:

  • cookie restrictions;
  • browser settings;
  • iOS privacy changes;
  • ad blockers;
  • consent banners;
  • third-party integrations;
  • platform limitations.

Polkadot Digital does not guarantee 100% data accuracy across Google Ads, Google Analytics, or third-party reporting platforms.

Reports are intended as performance indicators only.

10. Intellectual Property & Account Access

Campaign structures, keyword research, ad copy, audiences, optimisation strategies, reporting templates, and management methodologies developed by Polkadot Digital remain the intellectual property of Polkadot Digital unless otherwise agreed in writing.

Polkadot Digital reserves the right to remove administrative access or withhold editable campaign assets where invoices remain unpaid.

Read-only access may be granted upon request once all outstanding invoices have been settled.

11. Website & Landing Page Responsibility

Google Ads performance is heavily influenced by website quality and landing page experience.

Polkadot Digital is not responsible for poor campaign performance caused by:

  • slow websites;
  • poor user experience;
  • broken forms;
  • website downtime;
  • poor pricing;
  • weak offers;
  • low-quality products or services;
  • poor sales processes;
  • lack of stock availability.

Website development, SEO, conversion rate optimisation, hosting, and website maintenance are separate services unless included within the quotation.

12. Communication & Approval

Polkadot Digital may create:

  • ad copy;
  • headlines;
  • descriptions;
  • graphics;
  • keywords;
  • campaign settings

based on the information provided by the client.

The client remains responsible for reviewing and approving all advertising content where approval is requested.

If the client does not provide feedback within a reasonable timeframe, Polkadot Digital may proceed using best judgement to avoid campaign delays.

13. Limitation of Liability

To the maximum extent permitted by law, Polkadot Digital shall not be liable for:

  • indirect losses;
  • lost profits;
  • loss of sales;
  • business interruption;
  • reputational damage;
  • data loss;
  • platform downtime;
  • account suspensions;
  • reduced ad performance;
  • changes in Google algorithms or policies.

The client agrees that Polkadot Digital’s total liability relating to Google Ads services shall not exceed the total management fees paid by the client over the preceding 3-month period.

14. Changes to Terms

Polkadot Digital reserves the right to amend or update these Google Ads Terms & Conditions at any time.

The latest published version on the Polkadot Digital website shall apply.

15. Acceptance

By accepting a quotation, making payment, or proceeding with Google Ads services, the client confirms that they have read, understood, and agreed to these Google Ads Management Terms & Conditions.
